Terms of Use

Last updated 1 June 2026
Working draft. This document is being finalised ahead of public launch. Some details shown in brackets are still to be confirmed, and it does not yet constitute the final, binding policy.
PrivacyCookiesTerms of useIntended use

These Terms of Use govern your access to and use of Barihan. By creating an account or using the service, you agree to these terms. If you do not agree, please do not use the service.

Our Privacy Policy, Cookie Policy and Intended Use & Clinical Safety notice also apply to your use of Barihan and form part of these terms.

1. Who we are

Barihan is operated by [ Barihan Systems Ltd — to be confirmed at company registration ] (“we”, “us”, “our”). You can contact us at [ contact email — e.g. privacy@barihan.co.uk — to be confirmed ].

2. What Barihan is — and what it is not

Barihan is a productivity and documentation tool that helps healthcare professionals plan, structure, carry out and document clinical audits and quality improvement projects (QIPs) against published standards and local policies, at the level of a service, department or sample of cases.

Barihan is not a medical device. It is not intended to diagnose, prevent, monitor, predict, treat or manage disease in any individual patient, and it is not intended to provide clinical advice or to inform decisions about the care of any individual patient. Its outputs concern audit methodology and documentation, not the clinical management of individuals. You must not use Barihan as a clinical decision-support tool.

Our Intended Use & Clinical Safety notice sets out the intended purpose and limits of the service in full, and forms part of these terms.

3. Your professional responsibility

Barihan supports your work; it does not replace your professional judgement. You are responsible for reviewing, verifying and approving every output before you rely on it, submit it or share it. In particular, you must check — against the original source — that any standard, criterion, target, citation or recommendation is accurate, current and appropriate for your context.

Clinical, professional and governance responsibility for your audit and QIP work remains with you and your organisation at all times. You are responsible for complying with your employer’s and your professional body’s policies, and with your organisation’s information governance requirements.

4. Local governance and approvals

Barihan helps you produce and document audit and QIP work, but it does not provide, replace or imply any form of local approval or governance. In particular, Barihan does not provide audit registration, QIP approval, local or clinical governance approval, Caldicott approval, information governance approval, ethics review, research classification, supervisor or educational sign-off, ARCP or appraisal approval, or organisational endorsement.

A document produced or exported from Barihan is working documentation, not an approval. You remain responsible for following the registration, approval and governance requirements of your employer, regulator and training programme.

5. Generated draft content

Parts of Barihan use automated drafting technology to help generate audit criteria, summaries, recommendations, QIP plans and related outputs. These outputs may be incomplete, out of date, inaccurate, unsuitable for your local context, or contain incorrect citations. They are drafts for professional review only. They are not authoritative clinical guidance, legal advice, governance approval or clinical decision support, and they are not a substitute for checking the original source. You should not rely on any output without verifying it against the primary source.

6. Source currency

Clinical standards, national guidance and local policies change over time. Barihan may help you identify, structure or summarise sources, but you are responsible for confirming that any source used is current, complete, applicable to your setting and approved for local use before you rely on it.

7. Patient-identifiable data

You must not enter patient-identifiable information into Barihan — including names, NHS numbers, dates of birth, addresses, or any free-text that could identify a patient. Barihan is designed to be used with anonymised or aggregated information only. You are responsible for ensuring the content you submit complies with this requirement and with applicable data protection law.

8. Documents you upload

You may upload documents — such as local policies, guidelines, pathways or protocols — to use in your audit or QIP work. You must only upload documents that you are authorised to use for this purpose. You are responsible for ensuring that anything you upload does not contain patient-identifiable information, and is not subject to confidentiality, licensing or other restrictions that would prevent its use in Barihan. You must not upload material that infringes the rights of any third party.

9. Eligibility and your account

  • You must be at least 18 and using Barihan for professional purposes.
  • You must provide accurate account information and keep it up to date.
  • You are responsible for keeping your login credentials secure and for activity that happens under your account. Tell us promptly if you suspect unauthorised use.
  • Accounts are for individual use and should not be shared, unless we agree otherwise in writing (for example, under an enterprise arrangement).

10. Acceptable use

You agree not to:

  • use Barihan for any unlawful purpose, or in breach of your organisation’s policies;
  • enter patient-identifiable, unlawful, infringing or harmful content;
  • rely on outputs as a substitute for professional judgement or clinical decision-making;
  • copy, resell, sublicense or commercially exploit the service or its outputs beyond your own professional use;
  • reverse engineer, scrape, or attempt to extract the underlying models, code or data, except to the extent the law does not allow us to prohibit this;
  • interfere with, overload, or attempt to gain unauthorised access to the service or its security.

11. Subscriptions, fees and cancellation

  • Some features are free; others require a paid subscription. The plans, features and prices are those shown at the time of purchase.
  • Payments are taken through Stripe. Paid plans are billed in advance, monthly or annually as you choose.
  • Subscriptions renew automatically for the same period unless you cancel before the renewal date. You can cancel at any time, with effect from the end of your current paid period; you keep access until then.
  • We may change our fees for future periods. We will give you reasonable notice, and any change takes effect at your next renewal.
  • If you are a consumer, you have statutory cancellation rights, including (in most cases) a 14-day right to cancel a new purchase. Where you ask us to begin the service during that period, you accept that you may lose the right to cancel once the service has been fully provided. Nothing here affects your statutory rights.
  • Except where you have a statutory right to a refund, fees are non-refundable unless we agree otherwise.

12. Intellectual property

We and our licensors own all intellectual property rights in the Barihan platform, software, design, templates and the materials we provide. We grant you a limited, non-exclusive, non-transferable licence to use the service for your own professional purposes while your account is active.

You keep all rights in the content you submit (“Your Content”). You grant us the licence we need to host and process Your Content in order to provide and maintain the service and to meet our legal obligations. You may use the outputs Barihan generates for you for your own audit, QIP, portfolio, appraisal and governance purposes. If you send us feedback or suggestions, we may use them without restriction or obligation to you.

13. No endorsement or affiliation

Barihan may refer to NHS bodies, NICE, HQIP, royal colleges, Trusts, hospitals, journals, guideline publishers and other organisations for the purpose of standards review, source identification or context only. Unless we state otherwise in writing, Barihan is not endorsed by, affiliated with, approved by, certified by or otherwise connected to any of those organisations, and nothing in the service should be taken to imply such a connection.

14. Availability and warranties

We work to keep Barihan available and reliable, but the service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we do not warrant that the service or its outputs will be uninterrupted, error-free, accurate, complete, current or fit for a particular purpose. Any warranties or conditions implied by law are excluded to the extent the law allows. This clause does not affect the statutory rights of a consumer.

15. Our liability to you

Nothing in these terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any of your statutory rights as a consumer.

Subject to that, and to the fullest extent permitted by law:

  • we are not liable for any indirect or consequential loss, or for loss of profit, revenue, goodwill, anticipated savings or data;
  • we are not liable for any clinical, patient-safety, regulatory, disciplinary, examination, appraisal or reputational outcome arising from your use of, or reliance on, the service or its outputs — these fall within your professional responsibility under clause 3; and
  • our total aggregate liability arising out of or in connection with the service, whether in contract, tort (including negligence) or otherwise, will not exceed the greater of (a) the total fees you paid to us in the 12 months before the event giving rise to the claim, or (b) one hundred pounds (£100).

16. Indemnity

You agree to indemnify us against claims, losses, liabilities and reasonable costs we incur arising from your breach of these terms or your misuse of the service, including any entry of patient-identifiable, unlawful or infringing content. This clause does not apply to a consumer beyond what the law allows.

17. Suspension and termination

You can stop using Barihan and close your account at any time. We may suspend or end your access if you breach these terms, if your payment fails, or if we reasonably need to in order to protect the service, other users or comply with the law. Where it is reasonable to do so, we will give you notice and an opportunity to put things right.

After termination, your right to use the service ends. For a reasonable period you may be able to export Your Content; after that we will delete or anonymise it in line with our Privacy Policy. Clauses that are intended to survive termination (including those on intellectual property, liability and indemnity) continue to apply.

18. Third-party services

Barihan relies on third-party providers (for example, for hosting, sign-in, payments and AI processing). Your use of those parts of the service may also be subject to the relevant provider’s terms. We are not responsible for third-party services outside our control.

19. Changes to the service and to these terms

We may update, improve or change the service, and we may update these terms from time to time. If we make a significant change to these terms, we will take reasonable steps to let you know. If a change materially disadvantages you, you may cancel. Continuing to use Barihan after a change takes effect means you accept the updated terms.

20. Governing law and disputes

These terms, and any dispute arising from them or from your use of Barihan, are governed by the law of England and Wales, and are subject to the non-exclusive jurisdiction of its courts. If you are a consumer resident elsewhere in the UK, you may also have the right to bring proceedings in your local courts, and you keep the protection of the mandatory consumer laws of where you live.

21. General

  • These terms, with the Privacy and Cookie Policies and the Intended Use & Clinical Safety notice, are the entire agreement between us about the service.
  • If any part of these terms is found to be invalid, the rest continues to apply.
  • If we do not enforce a right straight away, we can still enforce it later.
  • We may transfer our rights and obligations under these terms to another organisation; this will not affect your rights. You may not transfer yours without our consent.
  • A person who is not a party to these terms has no rights to enforce them under the Contracts (Rights of Third Parties) Act 1999.
  • We are not liable for failures or delays caused by events outside our reasonable control.

22. Contact us

If you have any questions about these terms, contact us at [ contact email — e.g. privacy@barihan.co.uk — to be confirmed ].
